Terms of Service

These terms govern your use of the BareMetalRT platform operated by Bare Metal AI, Inc. By using our service, you agree to these terms.

1. The Service

BareMetalRT provides GPU-accelerated LLM inference software. The service includes a web application at baremetalrt.ai and a desktop daemon that runs on your hardware. Inference is performed on your own GPU — we do not provide compute resources. The desktop software can be run fully offline or in air-gapped mode, in which case it operates with no connection to Bare Metal AI.

You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and API keys. Notify us immediately if you suspect unauthorized access.

4. Intellectual Property

The BareMetalRT software, including its TCP transport layer, TensorRT-LLM integration, and web interface, is the property of Bare Metal AI, Inc. Open-source components are licensed under their respective licenses (Apache 2.0 for the TRT-LLM fork).

5. Models

LLM models available through our platform are provided by third parties (Microsoft, Mistral AI, Alibaba, etc.) under their own licenses. You are responsible for complying with each model's license terms. We do not claim ownership of any model weights. 6. Privacy

Your chat conversations are processed locally on your GPU, AES-256 encrypted, and stored on your device. Bare Metal AI does not access, store, or transmit your chat content. See our Privacy Policy for details on what data we do collect.

7. Disclaimer

The service is provided "as is" without warranties of any kind. We do not guarantee uptime, accuracy of model outputs, or fitness for any particular purpose. LLM outputs may contain errors, biases, or hallucinations.

8. AI Outputs and Your Responsibility

The service uses large language models to generate text, code, and other content ("Outputs") in response to the inputs you provide. Outputs are generated probabilistically and may be inaccurate, incomplete, offensive, out of date, or otherwise inappropriate, and do not represent the views of Bare Metal AI, Inc. As between you and Bare Metal AI, Inc., you are solely responsible for your inputs and for evaluating, verifying, and deciding whether and how to use any Output. You should not rely on Outputs as a substitute for professional advice — including medical, legal, financial, or safety-critical advice — and you assume all risk arising from your use of Outputs. You are responsible for ensuring that your inputs, your use of the service, and any Output comply with all applicable laws and do not infringe the rights of any third party.

9. Limitation of Liability

To the maximum extent permitted by law, Bare Metal AI, Inc. and its officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising from or relating to your use of (or inability to use) the service or any Output, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, the total aggregate liability of Bare Metal AI, Inc. for all claims arising out of or relating to these terms or the service shall not exceed the greater of (a) the total fees you paid us for the service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Bare Metal AI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your inputs or your use of any Output; (b) your use or misuse of the service; (c) your violation of these terms or any applicable law; or (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

11. Subscription, Billing & Refunds

Paid plans (Team and Enterprise) are sold on a per-seat subscription basis. Unless otherwise agreed in a written order form, subscriptions renew automatically each billing period (monthly or annually) until cancelled, and the payment method on file is charged in advance for each period. Fees are exclusive of applicable taxes, for which you are responsible. Except where required by law, payments are non-refundable, and cancellation takes effect at the end of the then-current billing period. We may change pricing or plan features with at least 30 days' notice to registered users; continued use after a change takes effect constitutes acceptance. Billing is handled by our payment processor (Stripe); see our Sub-processors list. The free Home plan carries no fees and no payment obligation.

12. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Bare Metal AI, Inc. agree to first attempt to resolve any dispute informally by contacting legal@baremetalrt.ai. Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive relief for misuse of intellectual property or confidential information.

13. Data Processing & Sub-processors

For the account, node, and usage data we process when you use the hosted service, our Privacy Policy governs our practices and our Sub-processors page lists the third parties involved. Enterprise customers who require a signed Data Processing Addendum (including EU Standard Contractual Clauses for international transfers) may review our Data Processing Addendum or request an executable copy at legal@baremetalrt.ai. When the software runs offline or in air-gapped mode, none of this data is processed by us.

14. Changes

We may update these terms. Continued use of the service after changes constitutes acceptance. We will notify registered users of material changes via email.
